Idaho is one of the only states where the annual report is free. The official filing fee is $0 when you submit online, and that is not a promotion or a first-year rate. It is simply how Idaho Code § 30-21-213 works. The catch is that the report remains mandatory, and an entity that ignores it gets administratively dissolved. This page covers the due date, the fee, the filing steps, and what happens if you miss the deadline.

When the Idaho Annual Report Is Due

Your report is due by the last day of your anniversary month, the month in which your entity was originally formed or registered. The filing window opens on the first day of that same month. Form an LLC on March 12, and every year afterward you can file any time during March, with March 31 as the deadline.

Idaho uses one universal annual report under § 30-21-213, so LLCs, corporations, nonprofits, limited partnerships, and LLPs all follow the same anniversary-month schedule, every year, without exception.

The Idaho Annual Report Fee: $0

The official Idaho annual report fee is $0 when you file online through the SOSBiz portal. The state charges nothing, and Idaho has no franchise tax layered on top of the report.

Paper is a different story. A paper annual report can only be filed in person at the Boise office, and it carries a $20 manual-processing surcharge under Idaho Code § 30-21-214. Since the online filing is free and takes minutes, paper rarely makes sense.

How to File the Idaho Annual Report

Idaho's filing is a verification workflow. The state pre-fills your record, and you confirm or correct what it shows.

  1. Sign in at SOSBiz, the Idaho Secretary of State's online filing system. You will need to create an account if you have never used it.
  2. Open the My Records dashboard and select your entity.
  3. Verify the pre-filled information: your entity's name and jurisdiction of formation, the registered agent's name and address, the street and mailing addresses of your principal office, and the name of at least one governor (the statute's umbrella term for a member, manager, or director).
  4. Sign and submit. Under § 30-21-213(b), the information must be current as of the date you sign.

Two quirks worth knowing. A name change cannot be made on the annual report; that requires a separate amendment filing. And if you enter a registered agent name or address that differs from what the state has on file, Idaho treats the entry as a statement of change under Idaho Code § 30-21-407.

Late Filing: No Late Fee, but Dissolution

Idaho does not charge a late fee. There is no penalty invoice, because there was never a fee to begin with. Instead, the state moves directly to the serious consequence.

An entity becomes delinquent after the end of its anniversary month. Roughly 60 days after the due date, the Secretary of State administratively dissolves a domestic entity under Idaho Code § 30-21-602. A registered foreign entity has its certificate of authority revoked under § 30-21-511 instead.

Dissolution means your LLC or corporation loses its good standing and the liability protection that comes with it, and reinstatement requires catching up on paperwork you could have avoided entirely. For a filing that is free and takes a few minutes, that is a painful trade.
